Agreement to Terms

These Terms and Conditions (“Terms”, “Agreement”) constitute a legally binding agreement between Métiers Collective (“we”, “us”, “our”) and you (“User”, “you”) concerning your access to and use of the website https://metierscollective.com and any related services, products, or content offered by Métiers Collective (collectively, the “Service”).

FTC Compliance: All pricing, charges, and billing practices comply with applicable FTC regulations including the Restore Online Shoppers’ Confidence Act (ROSCA) requirements for clear disclosure of material terms before charging.

Refunds and Cancellation Policy

Our refund policy is as follows:

  • Digital products and downloads: Due to the nature of digital products, all sales are final once the product has been accessed or downloaded, unless the product is defective or materially different from its description.
  • Defective or misdescribed products: If you receive a product that is defective, damaged, or materially different from its description, you are entitled to a full refund or replacement. Please contact contact@metierscollective.com within [X] days of purchase.
  • Chargebacks: Initiating a chargeback without first contacting us is a violation of these Terms. We reserve the right to suspend your account and pursue recovery of any chargeback amounts plus fees.

UK Consumer Rights Act 2015: This refund policy does not affect your statutory rights under the Consumer Rights Act 2015. UK consumers have the right to a full refund for digital content that does not conform to contract within the first 30 days.

Intellectual Property

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the Service will be uninterrupted, error-free, or free of viruses or other harmful components
  • Warranties regarding the accuracy, completeness, reliability, or timeliness of any content or information on the Service
  • Warranties that defects will be corrected or that the Service or the servers that make it available are free of harmful components

No advice or information, whether oral or written, obtained by you from Métiers Collective or through the Service shall create any warranty not expressly stated in these Terms.

UK Consumer Rights Act 2015: Nothing in these Terms affects your statutory rights as a consumer under UK law, which cannot be contractually excluded or limited.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MÉTIERS COLLECTIVE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, BUSINESS INTERRUPTION, OR OTHER INTANGIBLE LOSSES — ARISING OUT OF OR IN CONNECTION WITH:

  • Your access to or use of (or inability to access or use) the Service
  • Any content or conduct of any third party on the Service
  • Unauthorised access, use, or alteration of your transmissions or content
  • Any other matter relating to the Service

In no event shall our total liability to you for all claims arising out of or related to the Service exceed the greater of: (a) the amount you paid to Métiers Collective in the twelve months preceding the claim, or (b) [Your Currency] [Amount].

Indemnification

You agree to defend, indemnify, and hold harmless Métiers Collective, its parent company Métiers Collective, its affiliates, and their respective officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of or access to the Service in violation of these Terms
  • Your violation of any applicable law, regulation, or third-party right
  • Any misrepresentation made by you in connection with your use of the Service

Métiers Collective reserves the right, at its own expense, to assume the exclusive defence and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with Métiers Collective‘s defence of that matter.

Dispute Resolution

Informal Resolution: Before initiating any formal dispute, you agree to first contact Métiers Collective at contact@metierscollective.com and provide a written description of the dispute, including your name, a description of the issue, and the relief sought. We will attempt to resolve the dispute informally within 30 days of receipt of your notice.

Governing Jurisdiction: Any disputes shall be submitted to the exclusive jurisdiction of the courts of the jurisdiction in which the business is domiciled. Both parties consent to personal jurisdiction in that forum.

Governing Law

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of the jurisdiction in which the business is domiciled, without regard to its conflict of law principles.

Changes to These Terms

We may revise these Terms from time to time. When we make material changes, we will update the “Last Updated” date at the top of this page and, where appropriate, notify you by email or via a prominent notice on the Service.   • No Partnership: Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship between you and Métiers Collective.
